Payment:
- Awaken Company LLC will begin work on the ‘Services’ listed above for Client upon completion of the ‘Payment Option’ above paired with the signing of this document.
- All payment transactions arranged through Paypal will be charged 2.9% extra & Square at 3.5% (+ 15 cents) to account for standard transaction fees.
- Projects with a turnaround time under 14 days or under $750.00 are billed at the ‘Total Cost’ up front unless noted by Awaken Company LLC.
- Awaken Company LLC will carry out the completion of the ‘Services’ for Client in full and no refunds will be issued.
- Final payment(s) are due upon completion of the ‘Services’ listed above or by the ‘Turnaround Time’ (whichever comes first), neglection to pay within this timeline will result in the remaining amount of the ‘Total Cost’ being due plus 1.5% extra per any exceeding months.

Turnaround Time:
- The ‘Services’ are set for an estimated turnaround time of the listed days in the ‘Turnaround Time’ section.
- If the ‘Services’ are completed before the ‘Turnaround Time’ date, Client can opt to pay the remaining balance of the ‘Total Cost’ at the time of completion or wait until the ‘Turnaround Time’ is over.
- Client agrees to thoroughly reviewing previews, issuing revision requests and providing any requested material in a timely manor (expected of client: 1-3 business days). Neglection to do so could result in delays for the delivery of finished ‘Services’ at no liability to Awaken Company LLC.
- Due to Awaken Company LLC’s provided ‘Services’ being different in their creative and subjective nature for each individual Client, Awaken Company LLC reserves the right to notify Client if certain portions of the creative process for ’Services’ are taking longer than expected to professionally achieve under the given ‘Turnaround Time’ at no liability to Awaken Company LLC.
- Awaken Company LLC is not held liable for hosting downtime, DNS delays or web hosting issues during the launch of any web services.

Exchange Of ‘Services’ from Awaken Company LLC to Client:
- Upon the final approval issued by Client for the ‘Services’, Awaken Company LLC will finalize the ‘Services’ and require final payment for ‘Services’ as mentioned in the ‘Payment’ section. Awaken Company LLC will additionally cross-browser and platform-check all web ‘Services’ to assure there are no problems with the final delivery of the ‘Services’.
- All needed design ‘Services’ and files will be transferred to Client within 1-3 business days of completion.
- All web ‘Services’ will begin launching within 1-3 business days of completion, given Client has sent their necessary login information for and not limited to: Hosting Accounts, Domain Registrars, Online Shop Provider, etc.
- After ‘Services’ are transferred and/or launched Client agrees to not alter any of the creations done by Awaken Company LLC. Problems that arise after ‘Services’ are transferred and/or launched to Client are held liable to be maintenanced at $25.00/hour and a minimum of 2 hours (hourly rate is subject to change).
- Additional add-on ‘Services’ that are not agreed upon or covered under this Agreement will be billed at an hourly rate of $25.00/hour (hourly rate is subject to change) or a flat rate fee.

Rights Of Use:
- The rights of the ‘Services’ provided by Awaken Company LLC are only to be used for Client for the subject matter agreed upon and discussed under this Agreement. Duplicating the ‘Services’ for more than one use as agreed upon in this Agreement is prohibited. Additional usages are held liable to being billed accordingly.

Privacy Agreements:
- All web ‘Services’ are performed with the agreement from Client that Awaken Company LLC may access password protected areas of theirs to make the necessary changes for any ‘Services’ we have been hired to complete. Client recognizes that Awaken Company LLC will not back up any existing data and new ‘Services’ will replace the old in which we were hired for.

Creative Guidelines and Miscellaneous:
- When Client agrees to the visual design (mockups, previews, etc) of web ‘Services’ during the design process it will be coded to look as Awaken Company LLC previewed it and the functionality will then be programed. All design changes need to be requested during the design process. Any design and/or structure changes during the coding process can result in added cost for Client to pay and an extended ‘Turnaround Time’.
- Client agrees that Awaken Company LLC will design a non-intrusive and well-designed credit link into website ‘Services’ (ex: website by awaken design company, website by awaken) and recognizes that Awaken Company LLC may use the project (‘Services’) as a promotional piece to showcase in their portfolio and across various networks, etc.
- If Client intends for the ‘Services’ to contain any of the following content it must be disclosed prior to the signing of this Agreement (pornographic/adult/provocative material, violent, demeaning or offensive towards religions/races/genders/life-styles/ethnicities, or anything of the sort). Awaken Company LLC reserves the right to deny creation of ‘Services’ that contain any of the aforementioned. (Awaken Company LLC reserves the rights to work around any prohibited content and not include it in the ‘Services’ at no fault to Awaken Company LLC.)
- Client is held liable to submit in depth guidelines (in the form of the “Project Questionnaire” or similar documents) for the ‘Services’ before Awaken Company LLC will begin the contracted ‘Services’. Client agrees that all information listed in the guidelines/documents (”Project Questionnaire”, etc) represent what they want Awaken Company LLC to follow.
- All artwork and web development ‘Services’ are limited to stay within the creative and descriptive guidelines that Client has discussed with Awaken Company LLC prior to the signing of this Agreement. Revisions outside of these guidelines will be charged at an additional hourly rate of $25.00/hour (hourly rate is subject to change) or a flat fee determined by Awaken Company LLC.
